Please read these Terms of Service (“Terms,” “Terms of Service”) carefully before using the “Gimli” mobile application (the “App”) operated by Zote Ltd (“us,” “we,” or “our”).

Your access to and use of the App is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the App.

By accessing or using the App, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the App.

1. Introduction & Agreement to Terms

“Gimli” is an AI-powered mobile application designed to act as your home gym coach, providing personalized feedback on your workout form, tracking daily progress, and guiding you towards your fitness goals. These Terms govern your use of the App and its associated services.

2. Eligibility

• The App is intended for users aged 8 and older. If you are under the age of 16, you may only use the App with the consent and supervision of a parent or legal guardian.
• If you are a parent or legal guardian permitting a child between the ages of 8 and 16 (inclusive) to use the App, you agree to these Terms on behalf of that child.
• If you are 16 years or older, you represent that you have the full right, power, and authority to enter into these Terms.

3. Account Registration & Your Responsibilities

• Account Creation: You may need to register for an account to use certain features. You agree to provide accurate, current, and complete information.
• Account Security: You are responsible for maintaining the confidentiality of your credentials and for all activities under your account.
• Accurate Data: You are responsible for ensuring that any information you provide is accurate and up-to-date.

4. License to Use the App

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App solely for your personal, non-commercial purposes on your mobile device.

5. Intellectual Property

The App, its original content, features, and functionality are and will remain the exclusive property of Zote Ltd and its licensors.

6. User Conduct & Prohibited Activities

You agree NOT to:

• Manipulate workout data or misrepresent performance.
• Harass or abuse other users or our staff.
• Impersonate any person or entity.
• Interfere with App operations.
• Use automated systems to access the App.
• Use the App for any unlawful purpose.

7. AI Coaching, Video Data, and Health Disclaimer

• Video Data: By uploading videos you grant us a limited license to process them solely for operating and improving the App.
• Not Medical Advice: The App is for general fitness coaching only. Always consult a qualified professional before beginning any exercise program.
• Safety: You assume all risks associated with your exercise activities.

8. Third-Party Links & Services

The App may contain links to third-party sites. We are not responsible for the content, privacy policies, or practices of those sites.

9. Disclaimer of Warranties

The App is provided on an “AS IS” and “AS AVAILABLE” basis. Use is at your sole risk.

10. Limitation of Liability

To the maximum extent permitted by law, Zote Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the App.

11. Indemnification

You agree to defend, indemnify, and hold harmless Zote Ltd from any claims arising out of your breach of these Terms or your use of the App.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales. Disputes shall be subject to the exclusive jurisdiction of the courts in London, United Kingdom.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any breach of these Terms.

14. Severability

If any provision is held invalid, the remaining provisions remain in effect.

15. Entire Agreement

These Terms constitute the entire agreement between us regarding the App.

16. Subscriptions

Our App offers several auto-renewing subscription plans to provide you with ongoing access to premium features. When you subscribe to “Gimli,” you agree to a recurring subscription fee at the rates in effect when the charges are incurred. Payment and Renewal: Payment will be charged to your iTunes Account at confirmation of purchase. Your subscription will automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage or turn off auto-renewal in your Apple ID Account Settings any time after purchase. 17. Changes to These Terms

We may modify these Terms at any time. Material changes will be posted with at least 30 days’ notice. Continued use after changes constitutes acceptance.
